Terms of Service

These Terms of Service (“Terms”) are a legally binding agreement between you and Aqua Sutra Technologies LLP, trading as India Water Systems (IWS). By accessing, browsing, or using our website (“Site”) or engaging any of our services (“Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms and any referenced policies. If you do not agree, please discontinue use of the Site immediately.

1. Eligibility

You must be at least 18 years of age and legally capable of entering into a binding contract under the Indian Contract Act, 1872. By using the Site, you represent and warrant that you meet this requirement. If you are using the Site on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

2. License to Use the Site

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes. You may not:

• Reproduce, distribute, modify, create derivative works of, publicly display, or in any way exploit any part of the Site for commercial purposes without our prior written consent.
• Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission.
• Interfere with or circumvent any security feature of the Site or any feature that restricts or enforces limitations on use of the Site.
• Introduce any viruses, trojans, worms, logic bombs, or other harmful material.
• Attempt to gain unauthorised access to any portion of the Site, other accounts, computer systems, or networks connected to the Site.

3. Intellectual Property & Brand Assets

All content on the Site — including text, images, graphics, logos, icons, videos, product names, slogans, and software — is the property of Aqua Sutra Technologies LLP or its licensors and is protected by Indian and international copyright, trademark, and other intellectual property laws. Unauthorised use of any marks or materials is strictly prohibited and may result in civil and criminal penalties.

You may not use our trademarks, service marks, or trade dress in connection with any product or service that is likely to cause confusion, or in any manner that disparages or discredits India Water Systems.

4. Content Submissions, Testimonials & Feedback

When you submit reviews, testimonials, comments, photos, videos, or any other content (“User Content”) to us through the Site, social media, email, WhatsApp, or in person, you retain ownership of your original content but grant India Water Systems and Aqua Sutra Technologies LLP a non-exclusive, royalty-free, perpetual, irrevocable, and worldwide license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media for marketing, promotional, and commercial purposes.

• You represent that you own or control all rights to the User Content you submit and that it does not violate any third-party rights, including copyright, trademark, privacy, or publicity rights.
• We reserve the right to edit, remove, or refuse to publish any User Content at our sole discretion.
• We are not obligated to compensate you for any User Content you submit, even if it is used in advertising or promotional materials.

5. Quotations, Orders & Acceptance

• Quotations: All price quotes are valid for 15 calendar days unless stated otherwise in writing. Quotations are estimates based on the information provided by you and are subject to site verification.
• Order confirmation: An order is deemed confirmed only upon receipt of a signed / stamped purchase order and the applicable advance payment.
• Variations: Specifications, pricing, and lead times may change due to raw-material cost fluctuations, statutory levies, import duties, fuel surcharges, or unforeseen site conditions (e.g., civil work deviations, electrical non-readiness, water-source chemistry outside disclosed parameters).
• Custom builds: Any bespoke water-treatment plant, STP, ETP, or custom-engineered RO system is non-returnable and non-cancellable once fabrication or procurement of specialised components has commenced.

6. Payment Terms

Unless otherwise agreed in a written contract:

• 50% advance with the purchase order.
• 40% before dispatch or on completion of wet-work / civil readiness.
• 10% on successful commissioning and handover.
• Overdue invoices attract simple interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.
• Title to goods remains with Aqua Sutra Technologies LLP until full payment is received and cleared.

7. Installation, Site Readiness & Customer Obligations

The customer is responsible for ensuring the site is ready as per our pre-installation checklist, including but not limited to:

• Adequate civil work (plinth, drainage pits, ducts).
• Dedicated electrical points with proper earthing within 3 metres of the equipment.
• Uninterrupted raw-water inlet and outlet drainage lines.
• Safe, dry, and ventilated installation space with adequate headroom and access for service.
• Removal of obstructions and provision of site access for our technicians and equipment.

Delays, rework, or additional visits caused by site non-readiness, inaccurate information, or third-party contractor failures are billable at our standard service rates. We are not liable for damage caused by pre-existing site defects (e.g., leaking pipes, unsafe wiring, inadequate drainage).

8. Warranty & Exclusions

Equipment carries the manufacturer’s standard warranty, typically 12 months from the date of commissioning, against defects in materials and workmanship under normal use and service. This warranty does NOT cover:

• Consumables: membranes, resins, filter media, cartridges, UV lamps, dosing chemicals.
• Damage caused by misuse, negligence, power surges, or improper operation.
• Feed-water chemistry exceeding disclosed or tested parameters (e.g., TDS, hardness, iron, silica, chlorine levels beyond design limits).
• Unauthorised modification, repair, or tampering by non-IWS personnel.
• Damage from natural disasters, accidents, fire, flood, or acts of God.
• Failure to follow recommended maintenance schedules or use of non-genuine parts.

Extended warranty and AMC / ACMC plans are governed by our separate Service & Warranty Policy.

9. Disclaimers

The Site and all Services are provided on an “as is” and “as available”basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

• We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.
• Technical data, drawings, and specifications on the Site are for general guidance only and do not constitute a binding offer or engineering guarantee for your specific site conditions.
• Water-treatment outcomes depend on source-water quality, site infrastructure, and user maintenance. We do not guarantee specific TDS, hardness, or contaminant reduction levels beyond the performance envelope validated by pre-installation water testing.

10. Limitation of Liability & Indemnity

To the fullest extent permitted by the laws of India:

• Our aggregate liability for any claim arising out of or relating to the Site or Services shall not exceed the amount actually paid by you for the specific Service giving rise to the claim in the 12 months preceding the claim.
• In no event shall we be liable for any indirect, incidental, special, consequential, punitive, or loss-of-profit damages, even if advised of the possibility of such damages.
• You agree to indemnify, defend, and hold harmless Aqua Sutra Technologies LLP, its directors, officers, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of your use of the Site, your breach of these Terms, or your violation of any third-party right.

11. Cancellation & Refunds

• Standard products: May be cancelled before dispatch subject to a 10% restocking and administrative fee.
• Customised plants (WTP, STP, ETP, custom RO): Strictly non-cancellable and non-refundable once fabrication or component procurement has begun.
• Refunds: Where a refund is legitimately due, it will be processed within 30 working days to the original payment instrument. Bank charges and payment-gateway fees are non-refundable.
• Service contracts: AMC / ACMC contracts may be terminated with 30 days’ written notice; refunds for unused portions are pro-rata, less a 15% administrative charge.

12. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from events beyond our reasonable control, including but not limited to: natural disasters, floods, earthquakes, pandemics, epidemics, government lockdowns or restrictions, strikes, labour disputes, supplier defaults, transport disruption, war, terrorism, or failure of telecommunications networks.

13. Termination

We may suspend or terminate your access to the Site, or refuse to fulfil any order, at our sole discretion and without prior notice, for conduct that we believe violates these Terms, is harmful to other users, or is unlawful. Upon termination, all licenses and rights granted to you shall cease immediately.

14. Third-Party Links & External Platforms

The Site may contain links to third-party websites (e.g., payment gateways, government portals, manufacturer specification sheets). These links are provided for convenience only. We do not control, endorse, or assume responsibility for the content, privacy practices, or security of any third-party site. Accessing linked sites is at your own risk.

15. Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information, and how we may use your testimonials and ratings for marketing purposes.

16. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be resolved through good-faith negotiation. If negotiation fails within 30 days, the dispute shall be subject to the exclusive jurisdiction of the courts at Hyderabad, Telangana, India.

17. Severability & Entire Agreement

If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. These Terms, together with our Privacy Policy and Service & Warranty Policy, constitute the entire agreement between you and India Water Systems regarding your use of the Site and Services, superseding any prior agreements or communications.

18. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated “Last updated” date. Continued use of the Site after such changes constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
